Better Business Membership Terms and Conditions

Bristol24/7 CIC (registered in England under company number 08904329 at Unit 2.4 Paintworks, Arnos Vale, Bristol, United Kingdom, BS4 3EH (“B24/7”) would like to provide an opportunity for Bristol-based businesses to make a financial contribution by way of a subscription to B24/7 and thereby help it in its mission to provide quality, independent journalism, inspire the local community, include everyone and help shape a better Bristol.

These Terms and Conditions (the “Agreement”) govern the relationship between B24/7 and each Better Business member or contributor (“Member”), including the terms on which subscription may be accepted, refused, or returned by B24/7.

The staff of Members may benefit from membership without subscribing themselves. Subscriptions will be accepted in the form of a one-off annual payment or recurring monthly payments made directly to B24/7 as described in this Agreement.

  1. AGREEMENT

By paying a subscription, a Member agrees and acknowledges that:

  • The subscription is provided to B24/7 as an irrevocable gift, subject to any exercise of the Member’s right to receive a refund as described below and B24/7’s right to return any subscription at its discretion;
  • The subscription will be used by B24/7 to support its operations including delivering social and environmental impact projects; and
  • The subscription is made subject to this Agreement, which shall constitute a legally binding agreement between the Member and B24/7  and is entered into by each party in consideration of the other’s obligations under this Agreement.
  1. RECURRING SUBSCRIPTION PAYMENTS
    • Members agree to pay the subscription on either a rolling annual or monthly basis as selected.
    • The subscription will be deemed accepted when B24/7 provides the Member with written confirmation of acceptance. A Member’s contract and membership will come into existence when B24/7 issue this confirmation notice.
    • Membership shall continue for the duration of one year and shall automatically renew for a subsequent period of the same length unless:
      • either party gives the other written notice of termination at least thirty (30) days prior to the date of automatic renewal; or
      • it is ended by either party in accordance with the provisions of Section 5 of this Agreement (Refunds and Cancellation of Contributions).
    • Subscription amounts cannot be changed without cancellation or changing of a membership level.
    • Members must provide B24/7 with complete and accurate payment information at the time the Member agrees to pay the recurring annual or monthly subscription. Payment for the recurring subscription can be made by PayPal, credit or debit card (including VISA, VISA debit, Maestro, Mastercard and American Express).
    • Where the option to pay on a recurring monthly basis is selected,  payments will be taken on a monthly rolling basis and will be collected on the same day of the month. If the initial recurring payment falls on the 31st, PayPal eventually adjusts the billing cycle to the 1st of the month. If the initial recurring payment falls on the 29th or 30th, PayPal adjusts the billing cycle to the 1st of the month on the following February.
  2. CONDITIONS
    • Subscriptions will be accepted from businesses based in Bristol which are incorporated, established and/or registered in the UK (as applicable)
  3. ADMINISTRATION OF CONTRIBUTIONS
    • Subscriptions received by B24/7 will be deposited in one or more bank accounts in the name of B24/7 together with other B24/7 funds.
    • From the moment the subscription is processed, B24/7 will be legally and beneficially entitled to the full amount of the subscription and the Member has no entitlement to the return of a subscription in any circumstances other than as specified in this Agreement.
    • Members, and where appropriate the Members’ staff, may receive benefits (“Benefits”) including:
      • Support from, and opportunities to collaborate with, Bristol 24/7’s network of businesses;
      • Publication of the Member’s profile in a Better Business publication;
      • Invitations to Better Business events;
      • Opportunities for discounted advertising and marketing;
      • Exclusive discounts for staff members;
      • Opportunities for business mentoring;
      • Volunteering opportunities for staff members at social impact projects;
      • Delivery of Better Business publications; and
      • Opportunities for Members to promote their business.
  • These will be granted at the discretion of B24/7 and/or the partner
    • Members shall have no rights to influence the editorial policy or output of B24/7.
  1. REFUNDS AND CANCELLATION OF CONTRIBUTIONS
    • B24/7 reserves the right to refuse and return any subscription  in its absolute discretion, including without limitation where it believes that accepting the subscription would conflict with the mission, values or interests of B24/7, and/or where, having regard to the source of the subscription or intentions of the Member, B24/7 considers that to accept the subscription could damage the independence or reputation of B24/7  or adversely affect the relationship of B24/7 with other Members or stakeholders.
    • Members shall be entitled to receive a refund of their subscription for up to 14 days after receipt of payment by notifying B24/7 by email at [email protected].
    • Any refused and/or returned subscriptions shall be repaid into the account from which the subscription was paid.
    • subscriptions can be cancelled at any time either by sending an email [email protected] or calling 0117 2309 247 between 9am-5pm Monday to Friday.
    • Cancellation requests will be confirmed within a maximum of 5 working days. No further payments will be taken from any membership or subscription account after B24/7 confirms cancellation. Any payments taken before that point will not be refunded.
  2. TRANSPARENCY OF SUBSCRIPTIONS
    • B24/7 reserves the right to:
      • Request the full name and contact details of Members;
      • Request from the Member any other information that it considers to be necessary or desirable to determine the provenance of the subscription; and
      • Undertake any further investigations it deems fit to determine the provenance of the subscription
    • If the Member refuses to provide any information requested by B24/7 under this clause, B24/7 may refuse and return the subscription to the Member at its discretion.
  3. LIABILITY
    • The liability of B24/7 and any affiliated person, employee, agent, officer or director for any loss suffered by any Member or other person arising out of or in connection with a subscription shall be limited to the amount paid by the Member.
    • B24/7 shall not be liable for any loss arising out of any Benefits provided by a third party.
    • Nothing in this Agreement excludes or limits any liability for death or personal injury, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited under applicable law.
  4. MISCELLANEOUS
    • A failure of B24/7 to assert a right or provision under this Agreement shall not constitute a waiver of that right or provision.
    • If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of this Agreement will continue in full force and effect.
    • This Agreement constitutes the entire agreement between the Member and B24/7 in respect of any subscriptions made by the Member.
    • This Agreement is not intended to confer any contractual benefit on any person pursuant to the terms of the Contracts (Rights of Third Parties) Act 1999.
    • This Agreement and any non-contractual obligations arising out of or in connection with it will be governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.
